ABOUT THE ROLE:

Univision is seeking an exceptionally talented Corporate Attorney to serve as Vice President – Corporate and Mergers & Acquisitions to join our Legal team. This role will support the EVP & Associate General Counsel and will be responsible for providing a wide range of legal support related to corporate, Mergers & Acquisitions, securities, and governance matters.  The successful candidate will be involved in matters to include:  legal advice and counsel on commercial transactions, business development activity, preparing materials for Board of Directors meetings, the Compensation Committee, varying types of contracts, developing or advising on Company policies, and general advice to the Company on legal rights and duties. 

YOUR DAY-DAY:

• Handle complex legal matters, analyze legal (and business, where applicable) issues, draft legal documents, and negotiate matters and solve intricate problems using sound legal judgment and expertise.
• Assist with review of board and committee meeting materials, preparation of agendas for meetings and documentation of meetings
• Prepare, initiate, advocate and efficiently present legal points and recommendations to influence business partners and to represent them as legal counsel
• Provide support on securities matters, including assisting in diligence processes on financing transactions
• Oversee corporate entity management, including the formation of new entities, and maintain and organize the corporate structure and corporate records
• Provide legal counsel and strategic direction to senior management

YOU HAVE:

• J.D. from U.S. accredited institution
• Currently licensed to practice law in at least one state; eligible to practice in Florida or New York
• Minimum of 7 years of legal experience, with some combination of law firm and in-house legal department experience
• Significant experience with corporate governance and board matters
• Experience structuring and negotiating complex commercial transactions
